This Affiliate Program Policy (“Policy”) governs your participation in the Chatling Affiliate Program (“Program”) operated by Envision Labs Inc., doing business as Chatling (“Chatling,” “we,” “us,” or “our”). By enrolling in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by this Policy, our Terms of Service, and our Privacy Policy.
1. Program Overview
The Chatling Affiliate Program allows approved participants to earn commissions by referring new paying customers to Chatling. Affiliates receive a unique referral link and earn a percentage of qualifying revenue generated through that link.
2. Eligibility and Enrollment
- You must be at least 18 years of age to participate in the Program.
- Enrollment is subject to review and approval by Chatling. We reserve the right to accept or reject any application at our sole discretion.
- Approval is typically completed within 48 hours of application.
- Chatling employees, contractors, and their immediate family members are not eligible to participate.
- You must provide accurate and complete information during registration. Providing false or misleading information is grounds for immediate termination.
3. Commission Structure
- Approved affiliates earn a 20% recurring commission on all qualifying revenue generated by referred customers.
- Commissions are paid for the first 12 months from the date the referred customer’s first paid subscription begins, or until the referred customer cancels their subscription, whichever comes first.
- Commissions are calculated based on the net revenue received by Chatling (excluding taxes, refunds, chargebacks, and credits).
- Chatling reserves the right to modify the commission rate at any time. Changes will be communicated to affiliates in advance and will apply to new referrals made after the effective date of the change. Existing referral commissions will not be affected.
4. Referral Tracking and Attribution
- Referrals are tracked using your unique affiliate referral link. You are responsible for ensuring the correct link is used in your promotions.
- A referral is attributed to you when a new customer clicks your unique referral link and subsequently creates an account and purchases a paid plan within the cookie attribution window.
- The attribution cookie window is 60 days from the initial click. If a referred visitor does not convert within this window, the referral will not be credited.
- Self-referrals (referring yourself or accounts you control) are strictly prohibited and will result in commission forfeiture and account termination.
- If a referred customer was already an existing Chatling user or had previously been referred by another affiliate, the referral will not be credited.
5. Payment Terms
- Commissions are paid on a Net 30 basis. Payment is issued within 30 days after the end of the month in which the commission was earned.
- Payments are made via PayPal or Wise. You are responsible for providing and maintaining accurate payment information in your affiliate dashboard.
- There is no minimum payout threshold. All earned commissions will be paid regardless of amount.
- You are solely responsible for any taxes, duties, or fees applicable to the commissions you receive. Chatling does not withhold taxes on affiliate payments unless required by law.
- If payment fails due to incorrect information provided by the affiliate, Chatling will attempt to resolve the issue but is not liable for delays caused by inaccurate payment details.
6. Promotional Guidelines
You are encouraged to promote Chatling through legitimate marketing channels. However, the following activities are strictly prohibited:
- Misleading claims: Making false, misleading, or exaggerated claims about Chatling’s products, services, features, pricing, or performance.
- Spam: Sending unsolicited emails, messages, or communications of any kind to promote your referral link.
- Brand impersonation: Creating websites, social media accounts, or advertisements that impersonate or could be confused with official Chatling properties.
- Paid search on branded terms: Bidding on Chatling branded keywords (including “Chatling,” “Chatling.ai,” and variations thereof) in search engine advertising (e.g., Google Ads, Bing Ads).
- Cookie stuffing: Using hidden iframes, forced clicks, pop-ups, or any other method to artificially generate referral cookies without genuine user intent.
- Incentivized clicks: Offering monetary or material incentives to users solely for clicking your referral link or signing up (e.g., cashback, gift cards).
- Coupon/deal sites: Publishing or distributing unauthorized discount codes, coupons, or deals that were not explicitly provided by Chatling for affiliate use.
- Illegal or objectionable content: Promoting Chatling on websites or channels that contain illegal, defamatory, pornographic, violent, discriminatory, or otherwise objectionable content.
- Trademark misuse: Using the Chatling name, logo, or trademarks in your domain name, social media handle, or in any way that implies an official endorsement or partnership without written consent.
7. Use of Chatling Branding
- You may use Chatling’s name and logo solely for the purpose of promoting Chatling through the Program, provided you adhere to our brand guidelines.
- You must not modify, distort, or alter the Chatling logo or brand assets in any way.
- All use of Chatling’s intellectual property must accurately represent the brand. Chatling reserves the right to request removal of any promotional materials that do not comply with our standards.
8. Disclosure and Compliance
- You must comply with all applicable laws and regulations, including but not limited to the Federal Trade Commission (FTC) guidelines on endorsements and testimonials, the General Data Protection Regulation (GDPR), and the CAN-SPAM Act.
- You must clearly and conspicuously disclose your affiliate relationship with Chatling in any content where you promote or recommend Chatling (e.g., blog posts, social media, videos, emails). Example disclosure: “This post contains affiliate links. I may earn a commission if you sign up through my link.”
- You are solely responsible for ensuring your promotional activities comply with all applicable local, state, national, and international laws.
9. Term and Termination
- This Policy is effective upon your acceptance into the Program and remains in effect until terminated by either party.
- You may terminate your participation at any time by contacting us at [email protected].
- Chatling may suspend or terminate your participation at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:
- Violation of this Policy or any Chatling terms or policies
- Fraudulent or deceptive activity
- Inactivity for a period exceeding 12 consecutive months
- Any activity that negatively impacts Chatling’s brand, reputation, or business
- Upon termination, all pending commissions that have met the qualification criteria will be paid out in the next scheduled payment cycle. Commissions arising from fraudulent or policy-violating referrals will be forfeited.
- Termination of the affiliate relationship does not release you from any obligations or liabilities incurred prior to termination.
10. Refunds and Chargebacks
- If a referred customer receives a refund or initiates a chargeback, the corresponding commission will be deducted from your future earnings.
- If your account balance is insufficient to cover the deduction, Chatling reserves the right to withhold future payments until the balance is recovered.
11. Limitation of Liability
- Chatling’s total liability to you under the Program shall not exceed the total commissions paid to you in the 12 months preceding the claim.
- Chatling shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program.
- The Program is provided “as is” without warranties of any kind, express or implied.
12. Modification of Terms
- Chatling reserves the right to modify this Policy at any time. Material changes will be communicated to affiliates via email or through the affiliate dashboard.
- Continued participation in the Program after changes have been communicated constitutes acceptance of the updated Policy.
- If you do not agree with any changes, your sole remedy is to terminate your participation in the Program.
13. Relationship of the Parties
Nothing in this Policy creates a partnership, joint venture, employment, or agency relationship between you and Chatling. You are an independent contractor and are not authorized to make any representations, warranties, or commitments on behalf of Chatling.
14. Governing Law
This Policy shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under this Policy shall be resolved in the courts located in Ontario, Canada.
